Terms of Service
These Terms govern your use of zaventdata.com and your use of Zavent Data direct-license digital products. Product-specific licenses, Polar checkout terms, invoices, order forms, or signed engagement agreements may add to or replace these Terms for the relevant purchase or engagement.
1. Who these Terms apply to
These Terms apply when you visit zaventdata.com, contact Zavent Data, purchase a self-serve digital product through Polar checkout, or use a Zavent Data product made available through the site.
If you use the site or a product on behalf of a company or other organization, you represent that you are authorized to act for that organization. If you do not agree with these Terms, do not use the site or purchase products through it.
2. Zavent Data products and sales channels
Zavent Data includes local-first data tools and related product surfaces. Zavent App and Zpectre are offered as self-serve direct-license desktop products through Polar checkout. Z-ETL, Zerde, suite deployments, and bespoke work are scoped separately through direct engagement.
Engagement-led work may be governed by a separate proposal, order form, statement of work, invoice, license agreement, or services agreement. If those written terms conflict with these Terms, the more specific written terms control for that engagement.
3. Polar checkout, payments, taxes, and receipts
Self-serve purchases for Zavent App and Zpectre are processed through Polar as merchant of record. Polar presents checkout, collects payment, handles tax calculation and receipts, manages the customer portal, supports subscription management, and provides license keys and any download access included with the purchased tier.
By completing a Polar checkout, you also agree to the buyer terms, payment terms, privacy terms, and checkout disclosures Polar presents for that transaction. Billing questions, receipt questions, subscription cancellations, refunds, chargebacks, and payment-method issues should start in the Polar customer portal or with Polar support. Product activation, missing license-key or download-access questions, and product-use questions can be sent to Zavent Data support with your Polar checkout reference.
Ovrin Group Inc. does not directly receive, process, store, or have access to full payment card numbers.
4. Digital delivery, license keys, and customer portal access
Zavent Data products are digital goods. Delivery may happen through Polar-managed license keys, customer portal access, file/download access, email, or another delivery method stated at checkout or in the product materials.
After payment, Polar may redirect you back to a Zavent Data success page. The receipt, customer portal access, license key, and any attached download access are delivered by Polar by email and through the Polar customer portal. If an expected license key or download access is not visible, contact Zavent Data support and include the Polar checkout reference.
You are responsible for providing an accurate email address at checkout and for keeping your license keys and download links secure. Do not publish, share, resell, transfer, or expose license keys unless the applicable product license expressly allows it.
5. License scope
Unless a product-specific license or written agreement states otherwise, a purchase gives you a limited, non-exclusive, non-transferable license to install and use the purchased product for your own internal use on the number of workstations, seats, or activations associated with the purchased tier.
You may not redistribute the product, sublicense it, provide it as a hosted service for third parties, remove notices, bypass licensing or access controls, or use the product to violate applicable law. Reverse engineering is not permitted except where allowed by applicable law or by open-source licenses that apply to included components.
Product packages may include third-party open-source components. Those components remain governed by their own license notices.
6. Monthly, yearly, and perpetual tiers
Monthly licenses are subscription rentals and require an active subscription. They do not include fallback access after the subscription ends unless a product-specific license says otherwise.
Yearly licenses are annual subscriptions. Where the product materials state that fallback access is included, the product may permit access to the eligible version active when the yearly subscription lapses, subject to the applicable product license and checkout terms.
Perpetual licenses are one-time purchases for the purchased product version, with twelve months of updates unless the product materials state a different update period. “Perpetual” does not mean unlimited future updates, unlimited support, unlimited activations, or transfer rights unless those rights are expressly stated.
7. Cancellations and refunds
Subscription cancellation and refund requests should start in the Polar customer portal. You may also contact Zavent Data support for product context, missing license keys, download-access issues, activation issues, or help routing a refund request. Include the product, tier, checkout reference, account email, and a short description of the issue; do not send full payment-card details.
Refund eligibility depends on the checkout terms, product-specific terms, applicable law, and the circumstances of the request. If a refund is approved, associated license keys, download access, subscription access, customer portal access, or support entitlements may be cancelled or revoked.
8. Product support, updates, and availability
Direct-license product support covers reasonable help with purchase license keys, download access, license activation, product access, documentation, and product-use questions. Billing, payment-method, receipt, cancellation, and merchant-of-record refund operations are handled through Polar. Engagement-led support is governed by the written scope for that engagement.
We may update, improve, replace, change, or discontinue products, downloads, support channels, documentation, or purchase availability over time.
Local-first product features may still depend on your operating system, hardware, installed dependencies, configured providers, local endpoints, network settings, license status, and the files or data you choose to process.
9. Your data, outputs, and responsibilities
You are responsible for the files, documents, data, prompts, endpoints, API keys, and outputs you use with Zavent Data products. Do not use the products with data you do not have the right to process.
Zavent Data products may support AI-assisted workflows or data-analysis workflows. Outputs can be incomplete, inaccurate, or unsuitable for a particular purpose. You are responsible for reviewing outputs and deciding how to use them.
10. Acceptable use
You may not use the site, checkout flow, license keys, downloads, or products to commit fraud, interfere with the site, attack infrastructure, scrape in a way that burdens the service, violate intellectual-property rights, distribute malware, bypass license controls, or violate applicable law.
We may suspend support, revoke access, cancel license access, or refuse service where we reasonably believe there is fraud, abuse, unlawful conduct, license misuse, payment failure, or violation of these Terms.
11. Intellectual property
The site, product names, product materials, software, documentation, graphics, text, and other Zavent Data content are owned by Ovrin Group Inc. or its licensors. Except for the limited license expressly granted to you, all rights are reserved.
“Zavent,” “Zavent Data,” “Zavent App,” “Zpectre,” “Z-ETL,” “Zerde,” “Ovrin,” and “Ovrin Labs” may be names, marks, or identifiers of Ovrin Group Inc. or its affiliates. You may not use them in a way that implies endorsement, ownership, or affiliation without permission.
12. Disclaimers
The site, documentation, downloads, and products are provided on an “as is” and “as available” basis to the maximum extent permitted by law. We do not promise that the site or products will be uninterrupted, error-free, secure, compatible with every system, or suitable for every use case.
Zavent Data products are data and productivity tools. They are not a substitute for your professional judgment, operational review, legal review, security review, compliance review, or business controls.
13. Limitation of liability
To the maximum extent permitted by law, Ovrin Group Inc. and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill.
Any liability that cannot be excluded is limited to the greatest extent permitted by applicable law and any product-specific terms. Nothing in these Terms limits rights or remedies that cannot be limited under applicable law.
14. Governing law
These Terms are governed by the laws of Ontario, Canada and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Mandatory consumer-protection rights that apply in your jurisdiction are not excluded by these Terms.
15. Changes to these Terms
We may update these Terms as the site, products, checkout flow, or support operations change. The “Last updated” date shows when this page was last revised. Material changes may also be communicated to active customers where appropriate.
